Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the customer retention analytics services provided by polahubnexum AS ("we", "our", or "us"), a Norwegian company registered under number 642536148.

By accessing our website at polahubnexum.world, using our analytics platform, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

These Terms constitute a legally binding agreement between you ("Customer", "you", or "your") and polahubnexum AS. We may update these Terms from time to time, and continued use of our services constitutes acceptance of any modifications.

Service Description

polahubnexum provides customer retention analytics services including:

  • Real-time customer behaviour analytics dashboards
  • Predictive churn analysis and customer segmentation
  • E-commerce data integration and processing
  • Customer retention strategy consulting
  • Related analytics and business intelligence services

Our services are designed for e-commerce businesses seeking to improve customer retention through data-driven insights and analytics.

User Obligations

As a user of our services, you agree to:

  • Provide accurate and complete information when creating accounts or requesting services
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access
  • Use our services only for lawful purposes and in compliance with applicable laws and regulations
  • Ensure you have appropriate rights and permissions for any customer data you provide to us for analysis
  • Comply with data protection laws including GDPR when collecting and sharing customer data
  • Not attempt to reverse engineer, modify, or interfere with our analytics platform or systems
  • Not use our services to process illegal, harmful, or fraudulent data
  • Pay all fees and charges associated with your service plan in accordance with our pricing terms

Payment Terms

Service fees are charged according to your selected plan and billing cycle. Payment terms include:

  • Fees are due in advance and charged monthly or annually as selected
  • All prices are quoted in Euros (EUR) and exclude applicable taxes
  • Late payments may result in service suspension after 30 days past due
  • We reserve the right to modify pricing with 30 days' notice to existing customers
  • Refunds are provided only in accordance with our refund policy as communicated during service setup

Data Processing and Privacy

Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement. Key points include:

  • We process customer data as a data processor on behalf of our clients
  • All data processing complies with GDPR and Norwegian data protection laws
  • Customer data is encrypted in transit and at rest using industry-standard security measures
  • We maintain appropriate technical and organisational measures to protect data security
  • Clients retain ownership and control of their customer data
  • We do not use client data for purposes other than providing our analytics services

Intellectual Property

All intellectual property rights in our analytics platform, software, algorithms, and related materials remain the exclusive property of polahubnexum AS. This includes:

  • Our proprietary analytics algorithms and machine learning models
  • Dashboard designs, user interfaces, and software code
  • Documentation, training materials, and methodologies
  • Trademarks, trade names, and branding materials

Clients retain ownership of their customer data and any insights derived specifically from their data. Our services provide a licence to use our platform and analytics tools, but do not transfer ownership of the underlying technology.

You may not copy, modify, distribute, or create derivative works based on our proprietary technology without explicit written permission.

Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. Service availability terms include:

  • We target 99.5% uptime for our analytics platform, measured monthly
  • Scheduled maintenance will be communicated in advance when possible
  • We are not liable for downtime due to circumstances beyond our reasonable control
  • Service credits may be provided for extended outages as specified in your service agreement

Limitation of Liability

To the maximum extent permitted by law, polahubnexum AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or interruption of business operations
  • Costs of procurement of substitute services
  • Any damages arising from your use or inability to use our services

Our total liability for any claim related to our services shall not exceed the total amount paid by you for our services in the twelve months preceding the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, or otherwise.

Indemnification

You agree to indemnify and hold harmless polahubnexum AS from any claims, damages, or expenses arising from:

  • Your breach of these Terms or violation of applicable laws
  • Your misuse of our services or analytics platform
  • Any customer data you provide that violates third-party rights or data protection laws
  • Claims that your use of our services infringes third-party intellectual property rights

Governing Law

These Terms are governed by and construed in accordance with the laws of Norway. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Norwegian courts.

For customers located in the European Union, nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Termination

Either party may terminate the service agreement with appropriate notice:

  • You may cancel your service at any time by providing 30 days' written notice
  • We may terminate services for breach of Terms with 30 days' notice and opportunity to cure
  • We may immediately suspend services for non-payment or serious security violations
  • Upon termination, you will retain access to your data for 90 days for export purposes
  • All payment obligations for services provided prior to termination remain due

Termination does not affect any rights or obligations that accrued prior to the termination date.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by:

  • Email notification to your registered account email address
  • Prominent notice on our website and analytics platform
  • In-platform notifications when you next access our services

Continued use of our services after the effective date of any changes constitutes acceptance of the modified Terms.
